This session provides a practical understanding of selected sections of the Companies Act that often create confusion in practice.

We will focus on significant transactions such as loans to related parties, share buybacks, and other fundamental transactions.

The emphasis will be on compliance requirements, board and shareholder approvals, and drafting effective resolutions.

  • Solvency and liquidity
  • Significant transactions and their requirements
  • Financial assistance provided to related and inter-related persons – Section 45
  • Director’s personal financial interests – Section 75
  • Share buy backs – Section 48 VS fundamental transactions
  • Fundamental transactions – Section 112 – 115
  • Drafting resolutions for the above transactions with template examples
